LastKnown is an AI-powered decision support tool for trained security professionals. It does not replace emergency services. Always contact 911 when there is an immediate threat to life or safety.
1. Acceptance of Terms
By accessing or using the LastKnown platform ("Service") provided by Decisive Edge LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
LastKnown is an AI-powered incident decision support platform for physical security operations teams. The Service provides real-time incident action plans, priority contact notifications, training modules, playbook management, and incident documentation tools for authorized security personnel.
3. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate incident action plans and recommendations. All AI-generated content is provided for decision support purposes only and does not constitute professional security, legal, medical, or emergency management advice.
Users are solely responsible for all decisions made during incidents. LastKnown does not replace trained security judgment, emergency services, or organizational protocols. Operators must exercise independent professional judgment at all times.
4. Authorized Use
The Service is intended for use by authorized security operations personnel within organizations that have executed a service agreement with Decisive Edge LLC. Unauthorized access, sharing of credentials, or use outside the scope of your organization's agreement is strictly prohibited.
You agree not to reverse engineer, decompile, or attempt to extract the source code of the Service, or use the Service to develop competing products.
5. Data and Privacy
Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein. Organizations handling protected health information must execute a Business Associate Agreement and Data Processing Agreement with Decisive Edge LLC prior to use.
6. Intellectual Property
All content, features, and functionality of the Service — including software, AI systems, algorithms, prompt libraries, playbook content, and user interfaces — are owned by Decisive Edge LLC and protected by applicable intellectual property laws.
The LastKnown platform is patent pending — U.S. App. No. 64/102,986. The LastKnown name and mark are trademarks of Decisive Edge LLC.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DECISIVE EDGE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING DAMAGES ARISING FROM INCIDENT RESPONSE DECISIONS MADE WITH OR WITHOUT RELIANCE ON AI-GENERATED CONTENT.
THE COMPANY'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOUR ORGANIZATION FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE THOUSAND DOLLARS ($1,000).
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. DECISIVE EDGE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.
DECISIVE EDGE LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED ACTION PLANS WILL BE ACCURATE OR COMPLETE IN ALL CIRCUMSTANCES.
9. Indemnification
You agree to indemnify and hold harmless Decisive Edge LLC and its founders, officers, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or decisions made in reliance on AI-generated content.
10. Governing Law
These Terms shall be governed by the laws of the State of Arizona without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Maricopa County, Arizona under the Commercial Arbitration Rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least thirty (30) days before taking effect. Continued use after the effective date of changes constitutes acceptance of the updated Terms.
